Heads Up Lock - Trade Partner Program Terms & Conditions

Welcome to the Heads Up Lock Trade Partner Program. By submitting a quote via our Trade Partnership Program form you agree to be legally bound by the following Terms and Conditions. Please review them carefully.
1. Purpose & Relationship Structure
Heads Up Lock manufactures specialized LED restroom occupancy hardware. This Program is designed to establish localized commercial B2B relationships.
This agreement does not create a joint venture, franchise, employment relationship, or legal agency between the parties.
Partner operates strictly as an independent contractor purchasing hardware for localized client installation.
2. The Two-Year Evaluation Framework
Duration: The Program operates on a strict twenty-four (24) month evaluation timeline starting from the date that the partner decides to onboard as a partner with Heads Up Lock.
Indefinite Selection: Upon the conclusion of the 2-year period, Heads Up Lock reserves the right, at its sole discretion, to select high-performing accounts to transition into permanent, Indefinite Regional Partners.
Expiration: Accounts not selected for permanent status at the 2-year mark will automatically expire, and all portal access will revert to full retail public pricing.
3. Trade Discount Tiers & Performance Milestones
Trade pricing is calculated as a fixed percentage off the current, public Manufacturer's Suggested Retail Price (MSRP) published by Heads Up Lock at the time an order is placed. No matter how the standard baseline MSRP fluctuates over time, the following discount percentages will apply:
Tier 1: Registered Partner (10% Off Current MSRP): Automatically granted upon initial account activation. This baseline rate applies to all initial project procurement.
Tier 2: Elite Partner (20% Off Current MSRP): Unlocked exclusively when Partner successfully completes fifteen (15) unique, separate client installations or thirty (30) installations total within their first six (6) months of enrollment.
Elite Tier Duration: Once unlocked, the Elite 20% discount status remains active for the entire remainder of the 24-month program duration, with no ongoing annual maintenance or volume quotas required. Accounts that do not hit the 15-client milestone within the first 6 months will remain at the standard 10% trade tier for the duration of the program.
4. MSRP Fluctuations & Client Billing Guidelines
To maintain market value, ensure fair competition, and preserve trade partner margins:
Heads Up Lock reserves the right to modify, increase, or decrease its published product MSRP at any time without prior liability, based on market conditions, material costs, or manufacturing updates. Current pricing will always be clearly visible and listed above the Trade Partner Program Form.
Partner agrees not to publicly advertise or list Heads Up Lock hardware for less than the current published public MSRP.
Partner is instructed to list the hardware at full current MSRP on all client-facing quotes, completely keeping their backend trade discounts confidential, and allocating all additional partner profits directly into their itemized Labor, Materials, and Installation field fees.
5. At-Will Termination & Program Suspension
Heads Up Lock retains absolute authority over its brand distribution network. Heads Up Lock reserves the right, in its sole and absolute discretion, to terminate, suspend, or modify this Trade Partner relationship and revoke wholesale pricing privileges at any time, for any reason, or for no reason at all, effective immediately upon written notice to the email address on file.
6. Liability, Risk, & Warranty Limitations
Zero Inventory Risk: Partner carries no mandatory stock requirements, signup fees, or upfront financial purchasing risks to remain in the program.
Field Installation Liability: Partner accepts full responsibility, risk, and liability for localized field labor, site safety, proper low-voltage wire routing, and structural door/frame preparation. Heads Up Lock is not liable for structural damage or field errors caused by the installer.
Governing Law: These terms are governed by and construed in accordance with the laws of the State of California, without regard to conflicts of law principles.
